Welcome to IMBAR. These terms and conditions apply to all services offered by Alexis Suarez (IMBAR).
1. Definitions
In these terms, the following definitions apply:
- IMBAR: The sole proprietorship of Alexis Suarez, based in Purmerend.
- Client: The natural person or legal entity that enters into an agreement with IMBAR.
- Services: The services offered by IMBAR such as Web Development, Imbar Growth, and Visibility Engineering.
2. Applicability
These terms apply to all quotes, agreements, and deliveries by IMBAR, unless otherwise agreed in writing.
3. Quotes and Agreements
All quotes from IMBAR are without obligation. An agreement is concluded at the moment the client has accepted a quote in writing or digitally.
4. Execution of Services
IMBAR performs its services to the best of its knowledge and ability. For marketing services (such as Imbar Growth), IMBAR makes every effort to achieve an optimal result, but can never guarantee specific conversions or turnover figures.
5. Payment
Invoicing takes place according to the agreements in the quote. Payment must be made within 14 days of the invoice date. In case of late payment, IMBAR has the right to suspend services (e.g., turning off advertising campaigns or hosting).
6. Duration and Termination
For ongoing services (such as Maintenance or Growth packages), a minimum term of 3 months usually applies. After this period, the agreement can be terminated monthly with a notice period of one full calendar month.
7. Liability
IMBAR is not liable for indirect damage, consequential damage, lost profits, or damage due to business interruption. Total liability is limited to the amount invoiced for the specific assignment.
8. Intellectual Property
Ownership of the delivered website or systems passes to the client after full payment, unless it concerns licenses for third-party software.
9. Applicable Law
Dutch law applies exclusively to all legal relationships in which IMBAR is a party.
