1. OBJETO DEL CONTRATO

El Consultor se compromete a prestar los servicios de consultoría técnica, optimización analítica, desarrollo de infraestructura web (Astro) e integraciones lógicas detallados en el plan comercial, utilizando su propia metodología y herramientas avanzadas.

2. CONDICIONES ECONÓMICAS Y FACTURACIÓN

• ▹ Devengo y Pago: El Fee Mensual se facturará por adelantado dentro de los primeros cinco (5) días de cada mes. El Cliente se compromete a liquidar la factura en un plazo máximo de [7] días naturales desde su emisión.
• ▹ Impuestos: Todos los precios indicados no incluyen el IVA (VAT/BTW) aplicable, el cual se añadirá según la normativa fiscal europea (mecanismo de inversión del sujeto pasivo si aplica).
• ▹ Demoras: El impago facultará al Consultor a suspender de inmediato los servicios técnicos, el mantenimiento y la gestión de campañas, sin eximir al Cliente de su obligación de abonar el periodo mínimo comprometido.

3. TRANSPARENCIA Y COSTES EXTERNOS

• ▹ Inversión Directa Ads: El presupuesto de compra de tráfico (Meta, Google, etc.) es independiente del Fee del Consultor y será liquidado directamente por el Cliente a las plataformas.
• ▹ Software y Licencias: Cualquier herramienta, software o licencia de terceros (APIs, CRM, servidores dedicados) será a cargo exclusivo del Cliente.

5. GARANTÍA Y PROPIEDAD INTELECTUAL

• ▹ Garantía Técnica: El Consultor garantiza el correcto funcionamiento de la infraestructura desarrollada (Astro, GTM, n8n). Errores técnicos o caídas están cubiertos por el Fee Mensual.
• ▹ Propiedad Intelectual: Los datos analíticos y cuentas son propiedad del Cliente. La metodología técnica, código (Astro), flujos de n8n y lógicas de LLMs son propiedad intelectual y know-how del Consultor.
• ▹ Contenidos Brutos: El suministro de material audiovisual (fotos, vídeos) es responsabilidad exclusiva del Cliente.

6. CONFIDENCIALIDAD

Ambas partes se obligan a mantener estricta confidencialidad cumpliendo rigurosamente con el Reglamento General de Protección de Datos (RGPD) de la Unión Europea.

7. LEY APLICABLE Y JURISDICCIÓN

Este contrato se rige por las leyes de los Países Bajos. Las partes se someten a los tribunales de la residencia legal del Consultor.

The Consultant agrees to provide technical consultancy, analytical optimization, web infrastructure development (Astro), and advertising campaign management as detailed.

2. ECONOMIC CONDITIONS AND BILLING

• ▹ Accrual and Payment: The Monthly Fee will be invoiced in advance within the first five (5) days of each month. The Client agrees to pay within 7 calendar days of issuance.
• ▹ Taxes: Prices exclude VAT/BTW, which will be added according to EU tax regulations.
• ▹ Delays: Non-payment allows the Consultant to immediately suspend services without exempting the Client from their commitment.

3. TRANSPARENCY AND EXTERNAL COSTS

• ▹ Direct Ads Investment: Ad platform budgets (Meta, Google, etc.) are independent of the Fee and paid directly by the Client to the platforms.
• ▹ Software and Licenses: Any third-party tools, APIs, CRM, or dedicated server licenses are the responsibility of the Client.

5. GUARANTEE AND INTELLECTUAL PROPERTY

• ▹ Technical Guarantee: The Consultant guarantees the correct functioning of developed infrastructure (Astro, GTM, n8n). System errors or crashes are covered by the Fee.
• ▹ Intellectual Property: Client owns data and accounts. Consultant owns technical methodology, Astro code, n8n workflows, and LLM logic as proprietary know-how.
• ▹ Raw Content: The supply of raw audiovisual content (photos, videos) is the Client's exclusive responsibility.

6. CONFIDENTIALITY

Strict compliance with EU General Data Protection Regulation (GDPR) and absolute confidentiality of strategic information.

7. APPLICABLE LAW AND JURISDICTION

This contract is governed by the laws of the Netherlands. Jurisdiction in the Consultant's place of legal residence.

De Consultant verbindt zich tot technische consultancy, analytische optimalisatie, webontwikkeling (Astro) en advertentiebeheer.

2. ECONOMISCHE VOORWAARDEN EN FACTURATIE

• ▹ Facturatie en Betaling: De Maandelijkse Fee wordt vooraf gefactureerd binnen de eerste 5 dagen van de maand. Betalingstermijn van 7 kalenderdagen.
• ▹ Belastingen: Alle prijzen zijn excl. btw. Verleggingsregeling wordt toegepast indien van toepassing volgens Europese wetgeving.
• ▹ Vertraging: Bij wanbetaling worden diensten en infrastructuurtoegang direct opgeschort, zonder ontheffing van de betalingsverplichting voor de minimale looptijd.

3. TRANSPARANTIE EN EXTERNE KOSTEN

• ▹ Directe Ads Investering: Advertentiebudgetten (Meta, Google) staan los van de Fee en worden direct door de Klant aan de platforms voldaan.
• ▹ Software en Licenties: Licenties van derden (APIs, CRM, dedicated servers) zijn voor exclusieve rekening van de Klant.

5. GARANTIE EN INTELLECTUEEL EIGENDOM

• ▹ Technische Garantie: Correct functioneren van de infrastructuur (Astro, GTM, n8n) is gegarandeerd. Systeemfouten vallen onder de Maandelijkse Fee.
• ▹ Intellectueel Eigendom: Data en accounts zijn eigendom van de Klant. Consultant bezit technische methodiek, Astro-code, n8n workflows en LLM-logica als intellectueel eigendom.
• ▹ Ruw Materiaal: Levering van beeldmateriaal (foto's, video's) is de exclusieve verantwoordelijkheid van de Klant.

6. VERTROUWELIJKHEID

Strikte naleving van de AVG/GDPR en absolute geheimhouding van strategische gegevens.

7. TOEPASSELIJK RECHT EN JURISDICTIE

Nederlands recht is van toepassing. Geschillen worden voorgelegd aan de bevoegde rechter in de woonplaats van de Consultant.
